1. DEFINITIONS​
 

1.1 The following terms shall have the following meanings:

TERM: The term of the license granted to the LICENSEE lasts for the commercial life of the productions in which the WORK has been used.

TERRITORY: Worldwide

WORK: The Recording and Composition owned by LICENSOR that LICENSOR grants rights to LICENSEE as set in the agreement Addenda.

 

2. GRANTED LICENSE

2.1. In full and final consideration of the FEE, receipt of which is hereby acknowledged by LICENSOR, grants to LICENSEE the following non-exclusive rights with respect to the Recording and Composition in TERRITORY for the duration of TERM:

2.1.1. to use, in the manner herein above defined as Usage, a recording(s) of such performance(s) of the Recording and Composition not in excess of the TERM, in synchronization or timed relation with the PRODUCTION.

2.1.2. to record, use, perform, stream the Recording or Composition or any portion(s) thereof for the purpose of advertising, publicizing or otherwise promoting the Production and/or the exhibitors thereof by any and all means including without limitation, audio-visual trailers, commercials, promotions and advertisements, in any and all medium or forum whether now known or hereafter devised.

2.2. The rights granted to the LICENSEE do not permit the LICENSEE to:

 

2.2.1. claim authorship of the music represented under this AGREEMENT;

2.2.2. transfer, share or sub-lease this license agreement with any other party;

2.2.3. copy or duplicate the WORK except for use in the LICENSEE'S PRODUCTION or in the promotion materials of the PRODUCTIONs;

2.2.4. resell, trade, or exploit for profit the WORK contained herein outright or as part of other music and/or audio-related collections, in part or in whole, to any other individual or party.
